1. Confidentiality.
By registering as a contributor on Rwazi Supply (the “Platform”), you (“Contributor”) agree to hold in strict confidence all project briefs, specifications, taxonomies, prompts, label schemas, client identities, pay rates, model context, and any other non-public information disclosed via the Platform (collectively, “Confidential Information”). You will not disclose Confidential Information to any third party or use it for any purpose other than fulfilling assigned collection tasks.
2. Exclusivity of Contributed Data.
All data, recordings, imagery, annotations, transcripts, embeddings, and derivative artifacts you capture, generate, or submit in connection with any Platform project (collectively, “Contributed Data”) are produced exclusively for Rwazi and its designated AI lab clients. You hereby assign to Rwazi all right, title, and interest, including all intellectual property rights, in and to the Contributed Data on a perpetual, worldwide, irrevocable basis. You will not resell, relicense, republish, mirror, fine-tune third-party models on, or otherwise monetize the Contributed Data, whether in raw or transformed form, through any channel including data marketplaces, open datasets, competing collection platforms, or direct outreach to AI labs.
3. Non-Compete.
For the duration of your active engagement with the Platform and for twelve (12) months thereafter, you will not directly solicit, contract with, or provide substantially similar data collection services to any AI lab, foundation model developer, or data buyer first introduced to you (by name, brief, or specification) through the Platform, except via Rwazi.
4. Lawful Capture & Consent.
You warrant that all Contributed Data is captured lawfully and with all consents, releases, and permissions required under applicable privacy, image, and intellectual-property laws in your jurisdiction. Rwazi may reject, withhold payment for, or require deletion of any Contributed Data that fails these warranties.
5. Term & Remedies.
This agreement remains in force from acceptance until terminated in writing by Rwazi. The confidentiality, exclusivity, and IP-assignment obligations survive termination indefinitely. You acknowledge that breach would cause irreparable harm and that Rwazi is entitled to injunctive relief in addition to any other remedies at law.
6. Governing Law.
This agreement is governed by the laws applicable to Rwazi’s principal place of business, without regard to conflict-of-laws principles.
